These Terms of Service (“Terms”) govern your access to and use of BrightState Ltd's software, services, and platforms. By accessing or using our services, you agree to be bound by these Terms.
Service Terms
License Grant
BrightState grants you a non-exclusive, non-transferable license to use Sentinel QX and related services for your organization's internal business purposes.
Acceptable Use
You agree to use our services lawfully, not to interfere with system operations, and not to attempt unauthorized access to any part of our infrastructure.
Data Ownership
You retain all rights to data you upload. BrightState processes data solely to provide services and does not claim ownership of client data.
Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance.
User Responsibilities
Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account
Data Quality: You warrant that data uploaded to Sentinel QX does not violate any third-party rights or applicable laws
Compliance: You agree to comply with all applicable laws, including data protection and housing regulations
Notification: You must promptly notify BrightState of any unauthorized access or security breaches
Intellectual Property
BrightState IP: All software, algorithms, models, documentation, and branding are proprietary to BrightState Ltd and protected by UK copyright and intellectual property laws.
Client IP: Client data, reports, and insights generated from client data remain the property of the client organization.
Restrictions: You may not reverse engineer, decompile, or create derivative works from BrightState software without written permission.
Limitation of Liability
To the maximum extent permitted by law, BrightState Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
BrightState provides decision-support tools. Final decisions remain the responsibility of authorized personnel within your organization.
Termination & Changes
Termination: Either party may terminate the agreement with 30 days' written notice. BrightState may suspend access immediately if you breach these Terms.
Changes to Terms: We may update these Terms periodically. Material changes will be communicated via email or in-app notification at least 30 days in advance.
Governing Law: These Terms are governed by the laws of Scotland. Disputes will be subject to the exclusive jurisdiction of Scottish courts.
